Good news for businesses: from now on, not only incorporations but also certain changes to a company can be filed digitally via JustAct. This means less administration, faster processing and quicker updates to the information in the Crossroads Bank for Enterprises (CBE).
Until recently, JustAct could only be used to incorporate legal entities by private deed, such as a non-profit association (vzw/asbl), general partnership (VOF/SNC) or limited partnership (CommV/SComm). The digital application has recently been expanded, making it possible to file various changes online as well.
Which changes can you file digitally?
For legal entities incorporated by private deed, the following changes, among others, can now be filed digitally via JustAct:
- a registered office relocation, whether or not this requires an amendment to the articles of association;
- an appointment, extension or termination of a representative’s mandate, whether or not provided for in the articles of association;
- a change to the company’s contact details, such as its email address or website;
- a change to the company’s name or abbreviation;
- a change to the duration of the company;
- a change to the date of the general meeting;
- a change to the company’s corporate purpose;
- a change to the company’s legal form, currently limited to certain changes of legal form.
For legal entities incorporated by notarial deed, the digital options are currently more limited. The following changes can be filed digitally via JustAct:
- a registered office relocation that does not require an amendment to the articles of association;
- an appointment, extension or termination of a representative’s mandate, whether or not provided for in the articles of association;
- a change to the company’s contact details, such as its email address or website.
JustAct’s digital options will be expanded further in the future.
Digitalisation also means greater responsibility
The expansion of JustAct provides significant administrative simplification. However, some caution is still required. The procedure is entirely digital, without any prior substantive review by the registry.
The director or manager and the person submitting the documents are therefore responsible for the accuracy and completeness of the filing. A carefully prepared file containing all the required documents and correct information remains essential.
An important step towards administrative simplification
The expansion of JustAct is a positive development for businesses. Certain changes can now be filed more quickly, easily and entirely digitally. This means less paperwork, more efficient processing and faster updates to the information in the CBE.
However, this administrative simplification does not reduce the importance of proper legal preparation. On the contrary, as there is no prior substantive review by the registry, it is all the more important to ensure that the documents and information are correct from the outset.
